Welcome to CityLocal Orlando. These Terms of Use (“Terms”) govern your access to and use of the CityLocal Orlando website, business directory, business listings, accounts, forms, communications, features, and related services (collectively, the “Services”).
CityLocal Orlando (“CityLocal,” “we,” “us,” or “our”) is a local business directory and marketing platform operated by Venuedriver CMS Inc., a Florida corporation.
By accessing or using CityLocal Orlando, submitting or claiming a business listing, creating an account, purchasing a service, or otherwise using the Services, you agree to these Terms. If you do not agree to these Terms, you should not use the Services.
1. About CityLocal Orlando
CityLocal Orlando helps consumers discover businesses, services, venues, restaurants and other organizations in Orlando and surrounding Central Florida communities.
The Services may include free business listings, claimed or verified listings, featured listings, sponsored placements, advertising, business information, promotions, photographs, links, reviews, lead-generation features, contact forms and other directory or marketing services.
CityLocal is an independent directory and marketing platform. Unless expressly stated otherwise, the inclusion of a business on CityLocal does not constitute an endorsement, certification, guarantee or recommendation by CityLocal.
2. Eligibility and Use of the Services
You must be at least 18 years old and legally capable of entering into a binding agreement to create a business account, claim a listing, purchase paid services or enter into another agreement with CityLocal.
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You may not use CityLocal to engage in fraud, impersonate another person or business, submit knowingly false or misleading information, interfere with operation of the website, distribute malware, attempt unauthorized access to our systems, scrape or systematically extract CityLocal content without authorization, or otherwise violate applicable law or the rights of another party.
3. Business Listings
CityLocal may create and display business listings using information obtained from businesses, business representatives, publicly available sources, third-party data providers, websites, social media pages, public records and other sources we reasonably believe to be reliable.
A business does not necessarily have to create an account or request a listing for publicly available factual information about that business to appear in the directory.
Business listings may include information such as business name, category, description, address or service area, telephone number, website, hours, services, photographs, social media links and other business-related information.
Although we work to provide useful and accurate information, CityLocal does not guarantee that every listing is complete, current or error-free.
Businesses may contact CityLocal to claim a listing or request that inaccurate information be corrected.

CityLocal reserves the right to modify, correct, combine, suspend or remove listings when reasonably necessary to maintain the accuracy, integrity or operation of the directory or to comply with applicable law.
4. Claiming or Managing a Business Listing
If you claim or manage a business listing, you represent that you are the owner of the business or are authorized to act on its behalf.
We may request information reasonably necessary to verify your authority.
Claiming a listing does not transfer ownership of the underlying directory page, website design, database structure or other CityLocal intellectual property to the business.
A business representative is responsible for maintaining accurate information associated with a claimed listing and promptly correcting information that becomes inaccurate.
5. Featured Listings, Advertising and Sponsored Placement
CityLocal may offer paid products such as featured listings, enhanced profiles, category sponsorships, advertising, promotional placements or other marketing services.
Purchasing a featured listing or advertising service may increase a business’s visibility, placement or available profile features.
Payment does not constitute an endorsement by CityLocal and does not guarantee customers, leads, sales, search-engine rankings, revenue or any particular business result.
When paid or sponsored content appears alongside unpaid directory content, CityLocal may identify it using labels such as “Featured,” “Sponsored,” “Promoted,” “Advertisement” or similar language when appropriate.
Additional terms presented when purchasing a particular service are incorporated into these Terms and control with respect to that service if they conflict with these general Terms.
6. Business Information and Verification
CityLocal may use terms such as “claimed,” “verified,” “featured” or similar designations.
Unless we specifically state otherwise, such a designation means only that CityLocal has completed the particular verification process associated with that designation. It does not constitute a guarantee regarding the business’s quality, licensing, insurance, safety, reputation, employees, products or services.
Users should independently evaluate a business before purchasing products or services, entering into a contract or providing sensitive information.
Businesses remain responsible for maintaining all licenses, permits, registrations and insurance required for their operations.
7. Reviews, Ratings and User Content
CityLocal may allow users or businesses to submit reviews, ratings, photographs, descriptions, responses, comments, messages, promotions or other content (“User Content”).
You remain responsible for User Content you submit.
You may not submit content that is knowingly false or misleading, defamatory, fraudulent, unlawful, threatening, harassing, obscene, infringing, unrelated to the business or service being discussed, or intended to manipulate ratings or search results.
Businesses and users may not create or purchase fake reviews or ratings, condition compensation or incentives on a particular positive or negative sentiment, misrepresent the identity or experience of a reviewer, or engage in unlawful review suppression or manipulation.
CityLocal may moderate, investigate, reject or remove User Content that violates these Terms or applicable law. However, we do not undertake an obligation to independently investigate every review or submission.
The views expressed in User Content belong to the person who submitted the content and do not necessarily represent the views of CityLocal or Venuedriver CMS Inc.
8. License to User-Submitted Content
You retain whatever ownership rights you have in content you submit.
By submitting content to CityLocal Orlando, you grant CityLocal Orlando and Venuedriver CMS Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute and use that content as reasonably necessary to operate, improve, promote and market CityLocal and its Services.
You represent that you have the rights and permissions necessary to submit the content and grant this license.
This provision does not transfer ownership of your trademarks or other intellectual property to CityLocal Orlando.
9. Photographs, Logos and Intellectual Property
Businesses that upload photographs, logos, videos or other materials represent that they own those materials or have permission to use and submit them.
CityLocal Orlando respects intellectual property rights.

10. Transactions With Listed Businesses
Unless CityLocal Orlando expressly states otherwise for a particular service, CityLocal Orlando is not a party to transactions between users and listed businesses.
Any quote, reservation, appointment, contract, purchase, service, payment, warranty, refund or dispute between a consumer and a listed business is between those parties.
CityLocal Orlando is not responsible for the quality, legality, safety, timeliness, pricing or performance of products or services provided by a listed business.
Users are responsible for conducting whatever investigation they consider appropriate before hiring, visiting, paying or entering into an agreement with a business.
11. Leads and Communications
Certain CityLocal Orlando features may allow users to contact businesses, request information, request quotes, make inquiries or otherwise communicate with listed businesses.
Submitting a request does not guarantee that a business will respond or accept the request.
CityLocal Orlando does not guarantee the accuracy, availability, pricing or outcome of any offer or response made by a third-party business.
When you submit information through CityLocal, information necessary to fulfill your request may be provided to the business or service provider you selected, as further described in our Privacy Policy.
12. Third-Party Websites and Services
CityLocal Orlando listings may contain links to websites, reservation systems, social media pages, payment providers, maps or other services operated by third parties.
CityLocal Orlando does not control those third-party services and is not responsible for their availability, security, privacy practices, content, products or services.
Your use of third-party websites and services is governed by their own terms and policies.
13. Paid Services, Billing and Cancellations
Prices and payment terms for paid CityLocal Orlando products or services will be disclosed when those services are purchased.
Unless expressly identified as automatically renewing at the time of purchase, a purchase does not automatically create an automatic-renewal obligation.
If CityLocal Orlando offers an automatically renewing product or service, the renewal terms, billing frequency and cancellation procedure will be disclosed in connection with the purchase.
Any additional written proposal, order form, service agreement or advertising agreement accepted by a customer may contain additional payment, cancellation and refund terms.

14. No Guarantee of Results
CityLocal Orlando may provide directory exposure, advertising, marketing, search visibility, lead-generation or related services.
We do not guarantee any particular number of website visitors, impressions, inquiries, leads, customers, sales, reservations, search rankings, revenue or other results.
Marketing and search-engine performance can be affected by numerous factors outside CityLocal’s control.
15. Ownership of CityLocal
Except for User Content, third-party trademarks and other materials owned by their respective owners, the CityLocal Orlando website, branding, design, graphics, software, database organization, directory structure, text and other original CityLocal Orlando content are owned by or licensed to CityLocal Orlando and/or Venuedriver CMS Inc. and are protected by applicable intellectual property laws.
No portion of the Services may be copied, republished, sold, systematically extracted, reproduced or commercially exploited without authorization except as permitted by applicable law.
16. Availability and Changes to the Services
We may modify, add, remove, suspend or discontinue any part of the Services at any time.
We do not guarantee uninterrupted or error-free operation of CityLocal Orlando.
We may perform maintenance, change features or temporarily restrict access when reasonably necessary for security, maintenance or operational reasons.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYLOCAL ORLANDO AND ITS SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
CITYLOCAL ORLANDO AND VENUEDRIVER CMS INC. DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY APPLICABLE LAW.
WE DO NOT WARRANT THAT BUSINESS LISTING INFORMATION, USER CONTENT OR THIRD-PARTY INFORMATION WILL ALWAYS BE COMPLETE, ACCURATE, CURRENT OR ERROR-FREE.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CITYLOCAL ORLANDO, VENUEDRIVER CMS INC., AND THEIR OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
THIS INCLUDES, WITHOUT LIMITATION, LOSSES ARISING FROM RELIANCE ON A BUSINESS LISTING, DEALINGS WITH A LISTED BUSINESS, USER CONTENT, THIRD-PARTY WEBSITES, INTERRUPTION OF THE SERVICES OR LOSS OF DATA, PROFITS, BUSINESS OR OPPORTUNITY.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
19. Indemnification
To the extent permitted by applicable law, if you use CityLocal on behalf of a business, submit content, claim or manage a business listing, or purchase business services, you agree to indemnify and hold harmless CityLocal Orlando, Venuedriver CMS Inc., and their officers, employees, contractors and agents from third-party claims, liabilities, damages and reasonable expenses arising from your violation of these Terms, your submitted content, your business activities or your violation of another person’s rights or applicable law.
20. Privacy
Your use of CityLocal is also subject to our Privacy Policy, which describes how we collect, use and protect information.
The Privacy Policy is incorporated into these Terms by reference.
21. Termination and Suspension
CityLocal Orlando may suspend or terminate access to an account, listing-management feature or other portion of the Services if we reasonably believe these Terms have been violated, fraudulent activity has occurred, continued access presents a security or legal risk, or suspension is otherwise reasonably necessary to protect CityLocal Orlando, its users or third parties.
Provisions that by their nature should survive termination will continue to apply.
22. Changes to These Terms
We may update these Terms as CityLocal Orlando develops or as legal, regulatory or operational requirements change.
When we make changes, we will update the “Last Updated” date at the top of this page.
If a material change affects a paid service or other contractual relationship for which additional notice is legally required, we will provide such notice as required by applicable law.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
23. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal law controls.
Any dispute not otherwise subject to a separate written agreement between you and CityLocal or Venuedriver CMS Inc. will be handled in an appropriate court having jurisdiction in the State of Florida, subject to applicable law.
24. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
25. Entire Agreement
These Terms, together with the Privacy Policy and any additional written terms applicable to a specific paid product or service, constitute the agreement between you and CityLocal regarding use of the Services.
If a separate written service agreement, proposal or order form conflicts with these Terms regarding a purchased service, the more specific agreement will control with respect to that service.
